The Saikyo Bank, Ltd.

We have examined the accompanying consolidated balance sheets of The Saikyo Bank, Ltd. at March 31,1999 and 2000, and the related consolidated statements of income and retained earnings for the year then ended, all expressed in Japanese yen. Our examinations were made in accordance with auditing standards generally accepted in Japan and, accordingly, included such tests of the accounting records and such other auditing procedures as we considered necessary in the circumstances.

In our opinion, the consolidated statements mentioned above, expressed in Japanese yen, present fairly the consolidated financial position of The Saikyo Bank, Ltd. at March 31, 1999 and 2000, and the consolidated results of its operations for the years then ended, in conformity with accounting principles generally accepted in Japan.

We have also reviewed the translation of the 2000 statements mentioned above into U. S. dollars on the basis described in Note 1 of the Notes to the Financial Statements. In our opinion, such statements have been properly translated on such basis.

Our examinations were made in accordance with auditing standards generally accepted in Japan and, accordingly, included such tests of the accounting records and such other auditing procedures as we considered necessary in the circumstances.

In our opinion, the non-consolidated statements mentioned above, expressed in Japanese yen, present fairly the financial position of The Saikyo Bank, Ltd. at March 31, 1999 and 2000, and the results of its operations for the years then ended, in conformity with accounting principles generally accepted in Japan.

We have also reviewed the translation of the 2000 statements mentioned above into U. S. dollars on the basis described in Note 1 of the Notes to the Financial Statements. In our opinion, such statements have been properly translated on such basis.
